WHQL this time around, finally. Apparently Microsoft just now finished the DirectX 10 tests for WHQL testing, funny enough apparently some of the tests are titled with a WGF (Windows Graphics Foundation, some may recall that from early on when Vista was still Longhorn). All I know is that they're better than the last ones, can tell Nvidia is going crazy on these drivers.

If by upgrade you mean upgrade XP to Vista then don't do that, you'll be walking yourself into a world of "Vista not as fast as it should"-ness. If not, well then you're good to go.

You should know me better than that.... You never, ever, ever do an in place "upgrade", except from Windows Server 2003 to Windows Server 2003 R2.

Which is quite possible one of the best things MS has ever done.

Their GeForce 7 drivers for the most party are pretty solid. Besides some random issues out there they work fine, just a slight bit slower (very slight for the most part).
As for the upgrade, besides Vista installed on OEM boxes I'd bet that their are more upgrades done then clean installs. Many people do it to "avoid" having to backup data, etc. Of course that turns around and bites them, as upgrades apparently perform on average significantly slower.
