Get the cheaper PSU, you do not need that type of power for that system at all. Also, an OCZ can generally handle power needs actually above their rating, these are very heavy duty PSU's.
I also suggest you do not spend that much on a CPU. Get a 3200+. Tests show that once you break the 3000+ barrier you get next to nothing when running games at the normal high graphics settings. Save the money and put it towards a graphics card.

Also, 64 bit means nothing. Unless you run in Windows XP 64bit you get none of the benefits, and then there's the funny thing that XP64 has NO benefits at all for games right now. It also still has lackluster driver support and many times weird issues like printer drivers. Just use standard 32bit XP.
